TERMS & CONDITIONS
These Terms and Conditions of Sale (hereinafter – the "Rules") define the rights and obligations of the Buyer and the Seller, the conditions for acquiring goods and ordering services offered by the Seller, delivery of goods, and other provisions related to the purchase and sale of goods.
For Buyers who have concluded individual goods purchase-sale or consignment goods supply agreements with the Seller, all goods supply conditions shall be implemented based on the agreements concluded between the Buyer and the Seller, and not these Rules.
DEFINITIONS:
- Seller: UAB "Tiekimo projektai", a company established and operating under the laws of the Republic of Lithuania, legal entity code 302513392, registered office address: Palemono g. 1A, Kaunas, Republic of Lithuania, VAT payer code LT100005408617, data about the company are collected and stored in the Register of Legal Entities of the Republic of Lithuania.
- Buyer: A person engaged in economic commercial activity (legal entity, self-employed person, etc.), who orders and purchases the Seller's goods or services for business needs or other needs unrelated to personal, family, or household purposes.
- Goods: Goods (souvenirs) offered by the Seller held in stock for sale, as well as goods (souvenirs) produced individually according to the Buyer's orders.
- Package (In Package): The minimum quantity of goods that can be ordered from the catalog.
- Price: The price of one item (unit or set) of goods.
- Services: Goods packaging, delivery, or shipping services for which an additional fee may be requested from the Buyer.
- Online Product Catalog: The electronic catalog of goods offered by the Seller and its ordering platform, accessible at www.from.lt.
- Goods Collection Point: Palemono g. 1A, Kaunas, Republic of Lithuania.
- Registration Data: Data provided by the Buyer during registration. The Seller may specify mandatory Registration Data, without which Buyer registration is not possible.
GENERAL PROVISIONS
- These Terms and Conditions of Sale are a mandatory legal document that establishes the mutual rights, obligations, and responsibilities of the Buyer and the Seller, as well as other provisions related to the purchase and sale of the Seller's goods and services when the Buyer acquires goods and services from the Seller.
- The Buyer can order and purchase goods and services in the Online Product Catalog only after agreeing to the Terms and Conditions of Sale. By confirming familiarization with the Terms and Conditions of Sale, the Buyer undertakes to comply with and execute them. By acquiring goods and services, the Buyer agrees to the application of the Terms and Conditions of Sale and confirms that they have understood them. In the event that the Buyer has not read and/or understood the Terms and Conditions of Sale or does not agree with them, they cannot order and purchase goods and services.
- Trading activities are carried out from the territory of the Republic of Lithuania.
- The Seller has the right to change the provisions of the Terms and Conditions of Sale. Changes to the provisions come into force upon their publication in the Online Product Catalog. If the Buyer uses the Online Product Catalog in any way after the publication of changes to the Terms and Conditions of Sale, it is considered that they agree to all changes to the Terms and Conditions of Sale.
- Hereinafter in the Terms and Conditions of Sale, the term "goods" includes goods and services, unless explicitly stated or otherwise apparent from the context.
CONCLUSION OF THE PURCHASE-SALE AGREEMENT
- Only registered Buyers can order and purchase goods in the Online Product Catalog. Before registration, the Buyer must also familiarize themselves with the Privacy Policy. Upon Buyer registration, it is considered that the Buyer has familiarized themselves with these Terms and Conditions of Sale and the Privacy Policy and has expressed consent by registering.
- Buyer registration is performed by filling out the registration form and providing the necessary data therein (hereinafter - Registration Data). The Buyer is responsible for the correctness and accuracy of the Registration Data.
- To purchase goods, the Buyer places an order by filling out the electronic order form, following the rules for ordering goods in the Online Product Catalog.
- A purchase-sale agreement is concluded for each Buyer's order.
- The purchase-sale agreement between the Buyer and the Seller is considered concluded when the Buyer, in compliance with the rules specified by the Seller, forms an order in the Online Product Catalog, and based on this, the Seller sends an invoice to the Buyer.
- In cases where the Buyer does not agree to all or part of the provisions of the Terms and Conditions of Sale, they cannot order goods. However, this does not preclude the Buyer from contacting the Seller regarding the conclusion of an individual purchase-sale agreement.
- The purchase-sale agreement remains valid until the full fulfillment of obligations under this agreement.
BUYER'S RIGHTS AND OBLIGATIONS
The Buyer has the right to:
- Purchase goods available in the Online Product Catalog in compliance with the Terms and Conditions of Sale, other instructions from the Seller, and the legal acts of the Republic of Lithuania.
- Return or exchange defective and/or improperly packaged goods, and use the warranties applied to the goods.
- Other rights provided for in the Terms and Conditions of Sale and/or the legal acts of the Republic of Lithuania.
The Buyer undertakes to:
- Pay the price of the ordered goods and their delivery, as well as other payments, and accept the ordered goods.
- Inspect and check the shipment upon receipt of goods, and also inform the Seller in the manner prescribed by the Terms and Conditions of Sale about damaged shipments, clearly visible product defects, or discrepancies in the product's completeness with the Buyer's order.
- Check whether the purchased product is of high quality and inform the Seller (tel. +370 37 330880 or email: info@tpr.lt) about observed product quality defects that could not be noticed at the time of product transfer.
- If choosing the goods pickup method at the Goods Collection Point, pick up the goods as soon as informed of such possibility.
- If choosing the goods delivery service or other services offered by the Seller, create conditions for their provision and duly pay for such services.
- Pay for the costs of returning goods if they are incurred by the Buyer.
- Immediately update information if the Buyer's Registration Data or goods delivery data changes.
- Comply with other requirements set forth in the Terms and Conditions of Sale and the legal acts of the Republic of Lithuania.
SELLER'S RIGHTS AND OBLIGATIONS
The Seller has the right to:
- Establish a minimum order value and a minimum quantity of goods sold, indicating this in the Online Product Catalog.
- Change the Online Product Catalog or its individual parts or conditions, change the Online Product Catalog's internet address, without prior notice to the Buyer; the Seller is not responsible for any negative consequences caused to the Buyer by such actions.
- Change the Terms and Conditions of Sale, purchase conditions, and/or any other instructions by publishing the changes on www.from.lt.
The Seller undertakes to:
- Respect the Buyer's privacy and protect the confidentiality of their personal data, except in cases provided for by the laws of the Republic of Lithuania and/or the Privacy Policy.
- Accept defective goods from the Buyer and replace them with quality goods or refund the money.
- Timely prepare and deliver or dispatch goods to the Buyer in accordance with the schedules and deadlines specified in the Delivery Information.
- If unable to provide the Buyer with the ordered goods, the Seller undertakes to refund the money paid by the Buyer for the missing item or for the entire order within 5 (five) business days.
PRODUCT PRICES
- The prices of goods in the Seller's Online Product Catalog are indicated in euros, including value added tax.
- Goods are sold to the Buyer at prices valid at the time of order placement.
- The price of goods does not include delivery costs. Unless otherwise specified, goods delivery service and other services are paid. The prices of these services and the procedure for their calculation and payment are indicated in the Online Product Catalog.
- When purchasing goods, the Buyer can pay using the methods specified in the Payment Information.
- If the Seller detects a price error in the Online Product Catalog, they will immediately inform the Buyer. In such a case, the Buyer is given the opportunity to cancel the order or reconfirm the order at the corrected price.
GOODS DELIVERY
- Goods are delivered within Lithuania, and abroad they are sent by post, based on a separate agreement between the Buyer and the Seller.
- The goods delivery procedure, prices, and conditions are specified in the Delivery Information.
- The cost of goods delivery is paid together with the payment for the goods being delivered.
- If goods are delivered by the Seller's transport, before delivery, the Seller's representative will contact the Buyer and agree on the goods delivery time.
- If goods are delivered by courier, they are dispatched by the Seller on the next business day after payment and delivered to the Buyer on the next business day after dispatch.
- When ordering the goods delivery service, the Buyer must specify the exact delivery location and create suitable conditions for unloading the goods (unlock and open doors, gates, etc.).
- Upon receipt of goods, the Buyer must check the condition of the shipment, the quantity, quality, and assortment of goods. If the Buyer accepts the shipment without remarks, it is considered that the goods were delivered in an undamaged package, the quantity, quality, and assortment of goods correspond to the terms of the Purchase-Sale Agreement, and additional services related to the sale and delivery of goods were performed properly.
- The Buyer undertakes to accept the goods personally. When handing over the goods, the Buyer may be asked to present a valid identification document, as well as information about the order sent by the Seller to the Buyer via electronic means of communication. If the Buyer fails to provide these documents, the Seller has the right to refuse to issue the goods to the Buyer.
- When goods are delivered to the address specified by the Buyer, it is considered that the goods have been handed over to the Buyer, regardless of whether the goods are actually received by the Buyer or any other person who accepted the goods at the specified address. In the event that the Buyer cannot pick up the goods themselves, and the goods are delivered to the specified address, the Buyer has no right to make claims to the Seller regarding the delivery of goods to an unsuitable entity.
- The Seller is exempt from liability for delay in goods delivery if the goods are not delivered or are delivered late due to the Buyer's fault or due to circumstances dependent on the Buyer.
GOODS PICK-UP, STORAGE AND WAREHOUSING
- If the Buyer does not order goods delivery service, the Buyer can pick up the ordered goods free of charge from the Seller's warehouse at: Palemono g. 1A, Kaunas.
- Upon preparation of goods for pickup, the Buyer receives a confirmation notice about the possibility to pick them up. The Buyer, upon arrival at the Goods Collection Point to pick up goods, must have with them and, upon request by the Seller's representative, present a valid identification document, as well as the goods order information/confirmation notice sent by the Seller to the Buyer via electronic means of communication. If the Buyer fails to provide these documents, the Seller has the right to refuse to issue the goods to the Buyer.
- The Buyer must pick up the ordered goods no later than 4 (four) business days after the Seller has informed the Buyer via electronic means of communication about the possibility to come and pick up the ordered goods.
- If the Buyer fails to pick up goods sent by courier, or delivered by the Seller's transport, within the specified period, they must come and pick up the ordered goods at the Goods Collection Point within 4 (four) business days. If they do not arrive, the Buyer's order is canceled, and the Seller undertakes to refund the money paid by the Buyer for the goods, deducting the goods delivery fee, if applicable.
PAYMENT TERMS
- The Buyer can make payments for goods via bank transfer or cash.
- The Buyer shall pay the VAT invoice within 4 (four) business days from the date of receipt of the invoice.
PRODUCT QUALITY AND WARRANTY
- The color, shape, or other parameters of goods in the Online Product Catalog may not match the actual size, shape, and color of the goods due to the characteristics of the electronic devices used by the Buyer or other technical reasons, as well as taking into account reasonably possible appearance discrepancies.
- Unless otherwise noted, a 12 (twelve) month product quality warranty applies to goods purchased by Buyers. The warranty is provided in cases where manufacturing defects (factory defects) are observed. The manufacturer's warranty does not apply in cases where the product naturally wears out over time.
DISCOUNTS AND PROMOTIONS
- The Seller may initiate various promotions and apply discounts. The Seller has the right, on its own initiative, unilaterally, without separate warning, to change the conditions of discounts and/or promotions. The Seller has the right to cancel discounts and/or promotions. These changes made by the Seller or the cancellation of promotions and discounts come into force from the date of their publication in the Online Product Catalog.
- When the Buyer purchases a product for which the Seller provides a certain discount, and the Buyer exercises the right to return the product, only the amount actually paid for the product is refunded to the Buyer.
PARTIES' LIABILITY
- The Buyer is responsible for the correctness and accuracy of the Registration Data. If the Buyer does not provide accurate Registration Data and/or does not update it in a timely manner, the Seller is not responsible for the consequences arising therefrom.
- The Buyer is responsible for transferring Registration Data to third parties. If a third party uses the services provided by the Online Product Catalog and acquires goods or services by logging into the Online Product Catalog using the Buyer's login data, the Seller considers this person to be the Buyer, and all related obligations fall on the Buyer.
- The Seller is exempt from any liability in cases where losses arise due to the Buyer, disregarding the Seller's recommendations and their obligations, not familiarizing themselves with the Terms and Conditions of Sale, even though such an opportunity was provided to them.
- If the Seller's Online Product Catalog contains links to websites of other companies, institutions, organizations, or persons, the Seller is not responsible for the information or activities carried out there, does not supervise or control those websites, and does not represent those companies or persons.
- In the event of damage, the culpable party compensates the other party only for direct losses.
- The Seller is not responsible for non-fulfillment of the purchase-sale agreement and/or non-delivery or delayed delivery of goods if this occurred due to the fault of third parties or due to circumstances beyond the Seller's control and reasonably unforeseeable at the time of concluding the purchase-sale agreement, and which could not have been prevented (force majeure). If the specified circumstances last longer than 1 (one) month, the parties may mutually agree to terminate the purchase-sale agreement.
PROVISION OF INFORMATION
- The Seller sends all notices and other information to the Buyer at their specified email address. This is considered received by the Buyer 3 (three) hours after it has been sent.
- The Seller is not responsible for any internet connection, email service provider network disruptions, due to which the Buyer does not receive emails from the Seller.
- All notices, demands, requests, and questions from the Buyer shall be sent using the contacts specified in these Terms and Conditions of Sale.
FINAL PROVISIONS
- All information provided on the Seller's Online Product Catalog website, including, but not limited to, these Terms and Conditions of Sale, is considered provided to the Buyer in writing.
- The purchase-sale agreement between the Buyer and the Seller is governed by the law of the Republic of Lithuania.
- The Seller may at any time transfer its rights and obligations arising from these rules to third parties without the Buyer's consent and without notifying them.
- All disputes arising between the Buyer and the Seller regarding the Terms and Conditions of Sale shall be resolved through negotiations. If the parties fail to resolve the dispute through negotiations within 30 (thirty) days, the disputes shall be finally resolved in accordance with the procedure established by the laws of the Republic of Lithuania.
